DDConnect end-user licence agreement

This End-User License Agreement ("Agreement") is between 1337376 B.C. Ltd. dba Acorn Websites ("Licensor," "we," "us") and the individual or entity authorized to use DDConnect ("you"). By accessing or using DDConnect, you agree to this Agreement.

What DDConnect is

DDConnect is proprietary software and related configuration that connects Acorn Websites's internal systems to QuickBooks Online and Intuit services for accounting workflows, including reading and writing bookkeeping data such as expenses, vendors, and receipts.

License grant

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use DDConnect solely for Acorn Websites's internal business purposes. You may not sublicense, sell, rent, or publicly redistribute DDConnect.

Restrictions

You agree not to use DDConnect for any unlawful purpose, attempt to bypass security or access data you are not authorized to access, reverse engineer or create derivative works of DDConnect except to the extent permitted by applicable law, or use DDConnect in a way that violates Intuit's or QuickBooks Online's terms of service.

Third-party services

DDConnect relies on QuickBooks Online and other Intuit services. Your use of those services is governed by Intuit's terms and policies. We are not responsible for Intuit's products, availability, or data handling beyond our own integration.

Data and privacy

Use of DDConnect is also subject to our privacy policy at /ddconnect-privacy-policy/. You are responsible for ensuring that any data entered into QuickBooks through DDConnect is accurate and appropriate for your records.

Ownership

We retain all right, title, and interest in DDConnect, including software, documentation, and branding. QuickBooks Online and Intuit marks belong to their respective owners.

Disclaimer of warranties

DDConnect is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that DDConnect will be uninterrupted or error-free.

Limitation of liability

To the maximum extent permitted by law, Acorn Websites will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising from your use of DDConnect. Our total liability under this Agreement will not exceed CAD $100.

Termination

We may suspend or terminate access to DDConnect at any time. You may stop using it at any time and may revoke its QuickBooks access in your Intuit account settings. Sections that by their nature should survive, including ownership, disclaimer, and limitation of liability, will survive termination.

Governing law

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
